A recommendation concerning your legal rights;
A recommendation concerning a particular business structure;
A determination of legal sufficiency;
An attorney-client relationship; or
An attorney-client communication.
Your use of DIYLLCNow does not create an attorney-client relationship between you and DIYLLCNow or any owner, employee, contractor, representative, or service provider of DIYLLCNow.
If you have a legal question or your circumstances are complicated, you should consult a licensed attorney in the appropriate jurisdiction.
11. No Tax, Accounting, Financial, or Professional Advice

Business owners are responsible for determining their own tax, accounting, financial, licensing, insurance, and regulatory obligations.
You should consult a qualified CPA, tax professional, financial professional, attorney, or other appropriately licensed professional when necessary.

Failure to provide required information or payment in sufficient time may prevent us from completing a service.
Unless expressly stated in writing, DIYLLCNow does not provide a guarantee that a compliance deadline will be met or that a penalty will be paid by DIYLLCNow.
13. Registered Agent Services
If you purchase Registered Agent services through DIYLLCNow, the following terms apply.
DIYLLCNow may provide Registered Agent services directly or arrange for a qualified Third-Party Provider to provide some or all Registered Agent services.
You authorize the Registered Agent to receive service of process, official notices, legal notices, and other documents that a Registered Agent is legally authorized or required to receive on behalf of your business.
Where applicable, the Registered Agent or its service provider may scan, upload, electronically transmit, or otherwise provide received documents to you through your account, email, or another designated delivery method.
14. Registered Agent Address Is Not Automatically Your Business Address
Unless a separate service expressly states otherwise, a Registered Agent address is provided for the statutory purpose of receiving service of process and other legally authorized communications.
A Registered Agent address is not automatically:
Your principal place of business;
Your operating location;
Your mailing address;
Your business office;
Your location of business records;
A customer-facing location; or
A location where customers may visit you.
You must not falsely represent a Registered Agent address as your physical business location.
You are responsible for using the address only in the manner permitted by applicable law and the terms of the Registered Agent service.
If you purchase a separate business-address or mail-handling service, additional terms may apply.
15. Registered Agent Mail
You are responsible for maintaining accurate contact information so that Registered Agent communications can reach you.
You should promptly review all legal or governmental documents delivered to you.
DIYLLCNow and its Registered Agent providers are not responsible for legal consequences resulting from your failure to review, respond to, or act upon documents after they have been made available to you.
Mail may occasionally be delayed, misdirected, lost, damaged, or otherwise affected by postal services, couriers, electronic systems, or circumstances outside our control.
Where permitted, we may establish reasonable practices concerning the scanning, storage, retention, forwarding, and deletion of Registered Agent documents.
16. Your Responsibilities for Registered Agent Services
You agree to:
Provide accurate business information;
Maintain current email, telephone, and mailing information;
Notify us of changes to your business status;
Promptly respond to requests for information;
Maintain payment for Registered Agent services;
Properly appoint a replacement Registered Agent if you terminate the service;
Notify applicable governmental agencies when required;
Pay applicable government filing fees; and
Comply with all laws governing Registered Agent services.
Your failure to update your information may result in missed communications, interruption of services, or termination of the Registered Agent service.
17. Registered Agent Cancellation and Termination
If you cancel Registered Agent services, you remain responsible for properly appointing a new Registered Agent where required.
Cancellation of payment does not necessarily constitute a legally effective change of Registered Agent with a state filing office.
You are responsible for completing any required state filing or appointment of a replacement Registered Agent.
After termination, we or the applicable Registered Agent may have limited or no obligation to forward newly received legal mail, except where required by applicable law or expressly agreed in writing.
You are responsible for notifying governmental agencies, courts, creditors, customers, and other persons of your new Registered Agent information when appropriate.

Storage;
CPU usage;
Memory usage;
Bandwidth;
Email activity;
Database usage;
Number of websites;
File types;

Automated processes; and
Other server resources.
Hosting accounts may be suspended or terminated for abuse, excessive resource usage, security threats, unlawful activity, nonpayment, malware, spam, or violations of these Terms.
You are responsible for maintaining lawful content and activity on your hosting account.
Unless expressly stated otherwise, you are responsible for maintaining current backups of your website and data.

You are responsible for reviewing all AI-generated:
Text;
Images;
Websites;
Business descriptions;
Marketing content;
Claims;
Product descriptions;
Legal statements; and
Other generated material
before publishing or relying upon it.
DIYLLCNow does not guarantee that AI-generated content is accurate, original, legally compliant, non-infringing, or suitable for your particular business.
Third-party AI Website Builder services may be subject to additional provider terms, license restrictions, and technical limitations.
20. Domain Registration
If you purchase domain registration through DIYLLCNow, domain registrations may be processed through an independent registrar or domain provider.

You are responsible for:
Renewing your domain;

21. Business Phone and Communications Services
If you purchase business phone, virtual phone, telephone, messaging, SMS, or other communications services through DIYLLCNow, such services may be provided through independent telecommunications or communications providers.
Phone numbers are subject to availability and provider requirements.
We do not guarantee that a particular area code, city, number, or telephone number will always be available.
Phone numbers may be subject to carrier rules, regulatory requirements, registration requirements, acceptable-use policies, and third-party provider terms.
If messaging or SMS services are offered, you are responsible for obtaining all legally required consent before sending messages and for complying with applicable telecommunications, privacy, advertising, and messaging laws.
You may not use communications services for unlawful, fraudulent, deceptive, abusive, harassing, or unsolicited communications.

Software licensing;
Government filing systems; and
Other services.
When you purchase a service involving a Third-Party Provider, you may be required to accept that provider’s separate terms and policies.
DIYLLCNow does not control all aspects of Third-Party Services and is not responsible for changes, interruptions, failures, policies, pricing, availability, or performance caused by a Third-Party Provider, except where liability cannot lawfully be excluded.
23. Customer Information and Accuracy
You are responsible for the accuracy, completeness, legality, and timeliness of all information you provide to DIYLLCNow.
You agree to promptly correct information that becomes inaccurate.
We may rely upon information that you provide to us.

You are responsible for understanding what information is required to be submitted and what information may become publicly accessible.
26. Processing Times and No Guarantee of Government Approval
Any processing times displayed by DIYLLCNow are estimates unless expressly identified as guaranteed in writing.
Government agencies, registrars, carriers, financial institutions, and other Third-Party Providers control many processing times.
We do not guarantee:
Formation approval;
EIN issuance time;
Government filing acceptance;
Name availability;
Trademark availability;
Banking approval;

Once a government or Third-Party Provider fee has been paid or incurred on your behalf, it may not be refundable.
28. Memberships and Subscriptions
Some DIYLLCNow services are offered through recurring memberships or subscriptions.
Your subscription may automatically renew unless canceled in accordance with the cancellation procedures provided for that service.
You are responsible for subscription charges for each billing period whether or not you use the service during that period.
Failure to use a membership or subscription does not automatically cancel the subscription.
29. Payment Authorization and Automatic Renewal
By providing a payment method, you authorize DIYLLCNow or its authorized payment processor to charge the applicable fees.
Recurring subscriptions may automatically renew at the applicable renewal interval until canceled.
You authorize us to charge:
Initial membership fees;

Applicable taxes;
Government fees;
Third-party fees;
Add-on services;

We may suspend or restrict services while an amount remains unpaid.
You remain responsible for valid charges incurred before cancellation or termination.
If you initiate an improper chargeback or payment dispute for services you legitimately purchased, we reserve the right to provide transaction records to the payment processor and pursue amounts lawfully owed.
31. Changes to Subscription Fees
We may change membership or subscription prices.
Where required by law, we will provide notice of material price changes before the applicable renewal period.
If you continue your subscription after the new price becomes effective, you agree to the updated price.
You may cancel before the renewal period if you do not wish to continue at the new price.
32. Cancellation of Monthly Memberships
Monthly memberships may be canceled in accordance with the cancellation procedures made available through your account or by contacting DIYLLCNow.
Unless otherwise required by law or expressly stated in writing:
Monthly membership payments are non-refundable once access to the membership or digital services has been provided;
Cancellation stops future recurring charges;
Cancellation does not ordinarily result in a refund of the current billing period; and
Access may continue through the end of the paid billing period.
33. Annual Memberships and Annual Services
Annual memberships and annual services are generally non-refundable once access has been provided.
However, where expressly stated in our service terms, unused prepaid portions of certain services may qualify for a prorated refund, including certain prepaid:

Domain registration and related domain fees are generally non-refundable.
Government fees and Third-Party Provider fees are generally non-refundable once paid or incurred.
34. Digital Products and Immediate Access
Digital products, courses, templates, downloadable resources, and other digital materials may be made available immediately after purchase.
Because digital products may be accessed immediately, purchases may become non-refundable once access has been provided, except where required by law or expressly stated otherwise.
35. Account Security

Your use of communications services in violation of applicable laws or provider requirements; or
Your failure to maintain required business compliance.
This provision does not require you to indemnify us for our own liability to the extent such indemnification is prohibited by applicable law.
55. Governing Law
These Terms and any dispute arising from or relating to the Website or services will be governed by the laws of the State of [INSERT STATE], without regard to conflict-of-law principles, except where federal law or applicable consumer-protection law requires otherwise.
Any court proceedings that are permitted under these Terms shall be brought in [INSERT COUNTY AND STATE], unless applicable law requires another venue.
56. Dispute Resolution and Arbitration
Except where prohibited by law, you and DIYLLCNow agree that disputes arising from or relating to these Terms, the Website, or services may be resolved through binding arbitration rather than in court.
This arbitration agreement is intended to be interpreted broadly and may include disputes based upon contract, tort, statute, fraud, misrepresentation, or other legal theories.
Before beginning arbitration, the party asserting a dispute must provide written notice describing:
The nature and basis of the dispute; and
The specific relief requested.
Notice to DIYLLCNow should be sent to:

The parties will have thirty (30) days after receipt of the notice to attempt to resolve the dispute before arbitration is initiated, unless applicable law requires otherwise.
The arbitration will be conducted by a mutually agreed arbitration provider or, if applicable, the American Arbitration Association (“AAA”) under its applicable rules.
Unless otherwise required by applicable law, arbitration will be conducted on an individual basis.
You and DIYLLCNow waive the right to participate as a plaintiff or class member in a class action to the extent such waiver is legally enforceable.
Either party may bring an individual claim in small claims court when permitted by applicable law.
Nothing in this section prevents you from contacting or filing a complaint with a governmental or regulatory agency where applicable law permits you to do so.
The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision to the extent applicable.
If any portion of this arbitration provision is found unenforceable, the remaining portions will remain effective to the extent permitted by law.
DIYLLCNow should have an attorney review this arbitration section before publication to confirm that the selected state law, arbitration provider, consumer rules, fee allocation, class-action waiver, and notice procedures are appropriate for the business and customer base.
57. Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
A waiver must be made in writing to be effective.
58. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable.
The remaining provisions will continue in full force and effect.
59. No Third-Party Beneficiaries
Except where expressly stated otherwise, these Terms are between you and DIYLLCNow and do not create rights in any third party.
Third-Party Providers may enforce provisions specifically intended to protect them where permitted by law.
60. Assignment
You may not transfer or assign your rights or obligations under these Terms without our prior written consent where such consent is legally required.
DIYLLCNow may assign or transfer this Agreement in connection with a merger, acquisition, sale of assets, corporate restructuring, financing, or other lawful business transaction.
61. Right to Refuse Service
DIYLLCNow reserves the right to refuse, restrict, suspend, or terminate service where permitted by law.
We may refuse service where we reasonably believe that providing the service would:
Violate applicable law;
Create unacceptable legal or regulatory risk;
Require services outside our capabilities;
Involve fraud or deception;
Create a security risk;
Violate a Third-Party Provider’s requirements;
Violate these Terms; or
Otherwise create circumstances in which providing the service is not appropriate.
Where required by law, we will comply with applicable nondiscrimination and consumer-protection requirements.
62. Changes to These Terms
We may revise these Terms from time to time.
Changes become effective when posted unless a later effective date is stated.
For material changes, we may provide notice by posting an updated version on the Website, sending an email, displaying an account notice, or using another reasonable method.
Your continued use of the Website or services after the effective date of revised Terms constitutes acceptance of the revised Terms, to the extent permitted by law.
Changes to dispute-resolution provisions will not apply retroactively to disputes for which we have received written notice before the effective date of the change, unless otherwise required by law.
63. Entire Agreement
These Terms, together with our Privacy Policy, applicable service-specific terms, purchase terms, invoices, membership terms, and other documents expressly incorporated into this Agreement, constitute the entire agreement between you and DIYLLCNow concerning the subject matter covered by these Terms.
These Terms supersede prior written or oral agreements concerning the same subject matter, except for agreements expressly preserved or incorporated.
